3. Franchise Agreement

• All franchise terms (including area exclusivity, curriculum use, and support) will be detailed in the signed agreement.

4. Fees & Payments

• Fees (franchise, royalty, or otherwise) must be paid on time as per the agreement.

• Payments are non-refundable, unless otherwise stated in writing.

• CapOasis reserves the right to suspend or terminate services in case of delayed or incomplete payments.

5. Intellectual Property

• All logos, branding, curriculum, training content, study material, marketing creatives, and digital resources provided by CapOasis remain the intellectual property of CapOasis.

• Franchisees are granted a limited license to use these materials for business purposes only.

• Unauthorized reproduction, distribution, or modification is strictly prohibited.

6. Responsibilities of Franchisee

The franchisee agrees to:

• Operate the business ethically and in compliance with laws.

• Use CapOasis curriculum and training modules as per guidelines.

• Maintain brand reputation and follow CapOasis standards in marketing, student handling, and operations.

7. Limitation of Liability

CapOasis shall not be liable for:

• Business losses, student disputes, or operational risks faced by the franchisee.

• Third-party service interruptions (payment gateways, hosting, CRM, etc.).

• Indirect, incidental, or consequential damages arising from use of the franchise system.

8. Termination

• CapOasis reserves the right to terminate the franchise agreement in case of:

  • Non-payment of fees.

  • Breach of contract.

  • Misuse of intellectual property.

  • Activities that harm CapOasis’s reputation.

• Upon termination, the franchisee must immediately stop using all CapOasis intellectual property and branding.

9. Website Use

• Visitors may browse the website for informational purposes.

• Unauthorized use of content, copying, or data scraping is prohibited.

• We reserve the right to restrict access to any part of the website.

10. Governing Law

These Terms & Conditions are governed by the laws of India. Any disputes will be subject to the jurisdiction of courts located in Nashik.
